1. Scope of Application

These Terms and Conditions apply to all legal services provided by Morgenstern & Partners Ltd. (“the Firm”) to its clients, unless otherwise agreed in writing. They form an integral part of all contractual relationships between the Firm and the client.

2. Engagement and Client Relationship

A legal engagement shall be deemed effective only upon written confirmation by the Firm or upon commencement of services at the client’s request. An engagement does not grant exclusivity unless explicitly agreed. The Firm reserves the right to decline engagements at its sole discretion.

3. Professional Duties

The Firm shall perform its legal services diligently and in accordance with the rules of professional conduct, applicable laws, and ethical obligations. The outcome of a legal matter may depend on various factors and no specific result can be guaranteed.

4. Fees and Invoicing

Legal fees shall be based on the complexity, scope, and duration of the work performed, and may be charged on a fixed fee, hourly rate, or retainer basis as agreed with the client. The client agrees to pay invoices within the specified period stated therein. Delays in payment may incur statutory interest and collection costs.

5. Confidentiality

The Firm shall keep confidential all information received from the client, subject to statutory exceptions and professional obligations. Confidential data shall not be disclosed to third parties without the client’s prior consent, except where legally required.

6. Liability

The Firm shall be liable only for damages arising from gross negligence or intentional misconduct. Liability for ordinary negligence is excluded to the extent permitted by law. Any claim must be submitted in writing within 12 months, unless otherwise required by law.

7. Data Protection

8. Termination

Either party may terminate the engagement with reasonable notice, subject to applicable legal requirements. Fees incurred up to the date of termination remain payable.

9. Governing Law and Jurisdiction

These Terms shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of Cardiff.

10. Amendments

The Firm reserves the right to amend these Terms from time to time. The client will be informed of material changes, which shall become effective upon communication or continued use of services.
